Editorial Deals Terms & Conditions

By entering into an Insertion Order with carsales.com.au Pty Ltd (ABN 97 670 975 943) or its group companies (“carsales”) for services which enable you, or the customer on behalf of whom you have signed the Insertion Order (the “Client”), to receive Editorial Deals Services, you agree (on the Client’s behalf as relevant) to the following terms and conditions. These Terms are supplemental to the Advertising Service Terms and Conditions referenced in your Insertion Order, and any other contracts you may have entered into governing the advertising services. You should request any required changes to these Terms prior to entering into the Insertion Order.

1. For the purposes of these Terms:

(a) “Client Offer” means the relevant deal, promotion or offer by or on behalf of the Client in an Editorial Deal Ad (as defined below); and

(b) “Editorial Deals Services” means the Advertising Services that enable the Client to provide materials and instructions to carsales, and for carsales to develop and publish a native-appearing Ad promoting a Client Offer on carsales Network Media as set out in the relevant Insertion Order.

2. The Client must provide all Advertising Materials, information, specifications and instructions reasonably required by carsales to create the Ads, including full details of each Client Offer. The Client warrants that all such materials and information are accurate, complete and up to date.

3. carsales will use reasonable endeavours to create the Ads based on the Client’s Advertising Materials and written instructions, and publish the Ads (each being an “Editorial Deal Ad”) on the agreed carsales Network Media as set out in the Insertion Order and in accordance with the Agreement.

4. The Client acknowledges and agrees that:

(a) any Client Offer promoted in an Editorial Deal Ad is made by the Client (or a relevant third party), not by carsales;

(b) carsales acts solely as an intermediary and does not verify, endorse, approve or guarantee, or review or validate the commercial substance or legality of, any Client Offer.

5. The Client represents and warrants that:

(a) each Client Offer: (i) is genuine, bona fide and not misleading or deceptive; and (ii) complies with all applicable Laws, including the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law;

(b) each Client Offer is supported by clear and accessible terms and conditions, including any material limitations or exclusions;

(c) it will honour each Client Offer strictly in accordance with its stated terms;

(d) any pricing, savings claims, eligibility criteria and conditions relating to the Client Offer are accurate, clearly disclosed and compliant with applicable laws and regulatory guidance; and

(e) it has reviewed and will comply with all applicable ACCC guidance on pricing and promotions, including price displays and discounting at https://www.accc.gov.au/consumers/pricing/price-displays (as updated from time to time).

6. The Client must promptly notify carsales if it becomes aware that any Editorial Deal Ad or Client Offer is inaccurate, incomplete, misleading, expired or no longer available, and must provide updated materials as soon as reasonably practicable. carsales may, acting reasonably, amend, suspend or remove any Editorial Deal Ad where it considers (or is notified) that the Editorial Deal Ad or Client Offer may be inaccurate, misleading or non-compliant.

7. The Client acknowledges that carsales retains editorial control over the relevant Editorial Deal Ads and may, acting reasonably, determine the format, placement and labelling of Editorial Deal Ads (including “Sponsored” or similar disclosures).

8. To the maximum extent permitted by law, carsales is not responsible or liable for any Client Offer or the Client’s failure to honour any Client Offer.

9. For the avoidance of doubt, the carsales Custom Creative Services Terms & Conditions also apply to the Editorial Deals Services.
